Terms of Service

These Terms of Service ("Terms") govern the relationship between R11N Ventures GmbH ("Software Provider") and the shop operator ("Shop Operator") regarding the use of the Ring Sizer application ("Application").

2.1. The Application serves as an extension for online shops, available for installation via custom integration or through the Shopify marketplace. The Application's primary function is to enable End Users to provide sizing recommendations  for ring sizes on product detail pages.

Under this Agreement, Software Provider hereby grants to Shop Operator a non-exclusive, non-transferable, non-sublicensable, non-sharable, revocable, limited  license to access and use the Application, subject to the terms and conditions set forth herein. This license shall remain valid only for the duration of Shop Operator's active subscription and does not include any right to receive, access, or use the Application's object code or source code. Shop Operator shall have no right to sublicense, transfer, or assign the rights granted hereunder without Software Provider's prior written consent.

2.4. Automated Onboarding. As part of the setup and configuration of the Application, the Software Provider may access and process Store Data including but not limited to Shopify theme files, product titles, descriptions and variant names information through LLM-based services for the sole purpose of configuring, integrating, and optimizing the Application for the Shop Operator's store ("Onboarding Purpose"). The Software Provider shall not use Store Data for training, fine-tuning, or otherwise improving any machine learning or AI models. Store Data submitted to LLM Providers is processed transiently and is not retained by LLM Providers beyond the duration of the API request, subject to the LLM Provider's data processing terms.

3. Technical and Configuration Requirements

The integration and functioning of the Application requires the following technical aspects:

4. Subscription and Payment Terms

4.1. Pricing and Subscription: The Application operates on a subscription model with both monthly and annual pricing tiers ("Plans"). The Free plan is available at no cost, with restrictions on the provided functionality. Paid subscriptions include the Starter plan at 9 USD per month, the Growth plan at 29 USD per month, and the Enterprise plan at 99 USD per month. Annual plans are available at discounted rates. All stated prices exclude VAT, which may be added by Shopify, our billing provider, based on Shop Operator’s billing country's regulations. For comprehensive details regarding the features and capacities of each plan, please refer to the Plans page. All paid subscriptions include predetermined measurement quotas based on the selected tier. 

Shop Operators maintain the flexibility to modify their subscription tier at any time. All billing processes, including upgrades, downgrades, and payment processing, are handled exclusively through Shopify's billing system and are outside the Software Provider's direct control. Upon upgrading, Shopify's billing system will automatically prorate the monthly payment according to the usage duration of each plan, ensuring that the monthly cost does not exceed the maximum plan rate selected during the billing period.

When downgrading, the Shop Operator retains full access to their current paid subscription features until the conclusion of the active billing period. The specific expiration date of the Shop Operator’s current plan can be viewed on the "Plans" page within the Application. The Shop Operator may downgrade to the Free plan at any time, and while the paid subscription will be canceled, access to paid features will continue until the end of the current billing cycle for which payment has been made.

4.2. Usage Limitations: Each paid subscription plan includes a specific allocation of measurements, which represents the maximum number of times End Users can utilize the mobile measurement functionality within the billing period. Measurements are counted each time a customer opens the mobile application to capture their measurements. Once the Shop Operator’s account reaches the designated measurement quota, access to the mobile measurement functionality will be temporarily suspended until the next billing cycle begins or the subscription is upgraded. During this period, all other basic features of the Application, including the display and management of size charts, remain fully accessible and functional. To ensure uninterrupted access to all features, merchants are encouraged to monitor their measurement usage and upgrade their subscription tier as their business needs grow.

5. Prohibited Conduct

The Shop Operator agrees to operate within their legal rights and permissions, refraining from any illegal or unlawful activities while maintaining data protection, privacy, and security standards. Furthermore, they commit to: not using the Application without proper authorization from the Software Provider; refraining from modifying, reverse engineering, or tampering with the Application's code or proprietary notices; avoiding system overload; maintaining professional communication with Software Provider representatives; limiting requests to the scope of Services; respecting the privacy of other Shop Operators and End Users.

6. Data Processing and Privacy

The Software Provider processes End User data  as described in our Privacy Policy and applicable Data Protection Addendum (DPA). Where Shop Operator accepts our DPA, its terms govern any conflict with the Terms regarding data protection matters. The Shop Operator acknowledges that the Software Provider acts as a data processor for End User data submitted through the Application.

7. Intellectual Property Rights

7.1. The Software Provider retains exclusive ownership of all intellectual property rights necessary for providing the Services, including but not limited to graphics, code, user interfaces, logos, and trademarks reproduced through the Services. The sizing app, including its integration within the web shop, is protected by copyright owned by the Software Provider. Furthermore, the Software Provider maintains the right to use and disclose any anonymous, non-personally identifiable, aggregated data and information related to the Project for general reporting and statistical purposes.

7.2. The Shop Operator maintains full ownership rights over all Customer Content (e.g. provided logo and mood image). Through the Terms,, the Shop Operator grants the Software Provider a worldwide, limited-term license to host and display the Customer Content.

8. Warranty Disclaimer and Limitation of Liability

8.1. Service Terms: Software Provider provides its services on an as-is and as-available basis. The Shop Operator must acknowledge that software defects, infrastructure failures, security incidents, and human errors may occur and could lead to unexpected outcomes.

8.2. Service Level Agreement (“SLA”): For Enterprise plan subscribers, the Software Provider guarantees a monthly service availability of 99.0%, excluding any service disruptions caused by third-party providers, including but not limited to Shopify and Cloudflare. In the event that service availability falls below this guaranteed threshold, Enterprise Shop Operators are entitled to request a full refund equivalent to one month's subscription fee. Such refund requests must be submitted within 60 days from the end of the affected month. The refund serves as the sole and exclusive remedy for any service availability reduction below the guaranteed threshold.

The service availability is calculated based on the total number of minutes in a calendar month during which the Application is available for use, excluding scheduled maintenance windows and third-party service disruptions. The Software Provider maintains detailed system logs to verify service availability and will provide relevant documentation upon request to support any availability-related claims.

8.3. Claims: Any claims regarding unexpected functionality or malfunctions must be reported to Software Provider support@ringsizer.app immediately when the issue has been discovered and no later than 60 days after the incident. The Software Provider assumes no liability for incidents not reported within this timeframe.

8.4. Shopify’s Actions: In accordance with Section 9.7 of Shopify's Terms and Conditions, Shopify reserves the right to disable access to any Third Party Service, including Software Provider, at any time without notice and at Shopify's sole discretion. The Software Provider bears no liability for any actions taken by Shopify. 

8.5. No guarantees or warranties apply to free plans and trials.

8.6. Limitation of Direct Damages: Software Provider's maximum aggregate liability arising in connection with the Terms shall be limited to the fees paid by Shop Operator to Software Provider in the twelve (12) months prior to the date the claim accrued, less any damages previously paid. This limitation represents a fair allocation of risk and is a material inducement to the Software Provider entering the agreement.

8.7. Exclusion of Indirect Damages: Software Provider shall not be liable for loss of profits, revenues, or savings; loss or corruption of data; indirect, incidental, special, exemplary, punitive or consequential damages; or any negative impact on orders. This includes, but is not limited to, unintended modifications to Shopify store themes that may occur. These limitations apply regardless of the form of action (whether in contract, tort including product liability or otherwise).

8.8. General Liability Provisions: Exceptions to these limitations only as required by mandatory German law. Shop Operator acknowledges that Software Provider has not priced the platform to contemplate the risks of reliance or to assume substantial liability. Some jurisdictions may not allow the exclusion or limitation of incidental or consequential damages, in which case this limitation may not apply.

9. Termination

The Shop Operator may terminate this Agreement at any time by uninstalling the Application from their Shopify store.

The Software Provider reserves the right to terminate this Agreement and uninstall the Application from the Shop Operator's store in the following circumstances:

With immediate effect if:

  1. The Shop Operator fails to comply with any terms of this Agreement, or if the Software Provider determines, in its reasonable judgment, that the Shop Operator's actions violate this Agreement. In such cases, the Software Provider may also decline to provide future services to the Shop Operator.

  2. The Software Provider determines, in its sole discretion, that continuing to provide the Application to the Shop Operator would damage the Software Provider's reputation.

The Software Provider may also terminate this Agreement by providing 30 days' prior written notice via email to the Shopify store owner.

Upon termination of this Agreement, the Software Provider will cease charging any new fees. However, the Shop Operator remains responsible for paying any charges already incurred, including fees for the current billing period. Any previously paid amounts will not be refunded.

10. Force Majeure

Neither party shall be liable for failures or delays resulting from circumstances beyond their reasonable control, including but not limited to acts of God, governmental actions, war, network attacks, or pandemics.

11. Applicable Law and Jurisdiction

11.1. These Terms are governed by German law.

11.2. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Berlin, Germany.

12. Severability Clause

Should any provision of these Terms be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose intended by the parties.

13. Modifications

13.1 The Software Provider reserves the right to modify or replace these Terms of Service at any time, in its sole discretion, by posting the updated Terms on its website or within the Application. The changes will be effective immediately upon posting.

13.2 The Software Provider will provide Shop Operator with written notice of any material changes to the Terms at least thirty (30) calendar days before the effective date of such changes, using the email address associated with Shop Operator's account. Shop Operator's continued use of the Services following the effective date of any modifications to the Terms will constitute acceptance of those changes.

13.3 If Shop Operator does not agree to any modified Terms, Shop Operator must stop using the Services. The Shop Operator shall have the right to terminate this Agreement without cause within thirty (30) calendar days following the effective date of the modified Terms by providing written notice to the Software Provider.

13.4 The Software Provider will also update the "Last Updated" date at the bottom of this Agreement to indicate when the latest modifications were made. The Shop Operator is encouraged to review the Terms periodically to stay informed about any changes that may impact its use of the Services.

13.5 By continuing to access or use the Services after the modifications have become effective, the Shop Operator agrees to be bound by the modified Terms. If Shop Operator does not agree to the new Terms, in whole or in part, it must cease using the Application and Services.
